1. About these terms
These terms of service (“Terms”) apply when you use the Taxhive website or engage Taxhive (“Taxhive”, “we”, “us”), a brand of Taxhive Solutions Pvt Ltd (incorporation in progress), B18, Prajana CHSL, S V Road, Dahisar East, Mumbai 400068, for any of our services. By sending us your documents, accepting a quote or paying for a plan, you (“you”, the “client”) agree to these Terms. If you are engaging us for a business, you confirm that you are authorised to accept these Terms on its behalf.
Our Privacy policy explains how we handle your personal data and forms part of these Terms.
2. Our services
We provide compliance and accounting services, including GST registration, GST return filing (such as GSTR-1, GSTR-3B, CMP-08 and annual returns), e-way bill generation, income tax return filing, bookkeeping and accounting, TDS return filing, business registrations and related assistance, as described on our website or in the quote we give you.
The exact scope of your service is what is included in the plan you choose or the quote we confirm with you. Anything outside that scope — for example, replying to departmental notices, appeals, audits, back-dated filings or extra registrations — is a separate service and may be charged separately; we will tell you the price before starting.
We prepare and file returns on the basis of the information and documents you provide. We do not audit or independently verify that information unless that is expressly part of the service you have engaged us for.
3. Your responsibilities
- Accurate and complete information. Share complete, correct and genuine invoices, statements and other details that a filing needs.
- On time. Send the documents, information and approvals we need well before each due date. We will remind you, but meeting the timelines is a shared responsibility.
- Review and approve. Check the summaries and drafts we share and confirm or correct them promptly.
- You remain responsible for your information. You remain responsible for the correctness of the information you supply and for your business’s tax and legal obligations. Filings are made in your name on your instructions.
- Lawful use. Do not ask us to file anything you know to be false or misleading, or use our services for any unlawful purpose.
- Keep us informed. Tell us promptly about changes to your business, contact details, bank accounts or registrations, and share any notices you receive from tax authorities.
4. Fees and taxes
- Our fees are as shown on our website or in the quote we confirm with you. Unless stated otherwise, prices are exclusive of GST, which is charged in addition at the applicable rate.
- Fees are payable in advance — for the month, quarter, year or one-time service, as applicable — before we start or continue work.
- Government fees, late fees, interest, penalties and taxes payable to any authority are not included in our fees and are payable by you.
- Annual plans and any offers (such as free GST registration with an annual plan) apply only as described on our website at the time you sign up.
- We are not taking payments yet. We will collect fees, and charge GST, only once Taxhive Solutions Pvt Ltd is incorporated and registered for GST. Until then we take enquiries only and will confirm your plan and start date with you.
- We may revise our prices from time to time. Revised prices apply from your next billing period, and we will let you know before they do.
- If fees are unpaid, we may pause work until payment is received. We are not responsible for any delay or consequence caused by such a pause.
Plan volumes
- Each Hive plan covers up to the number of invoices a month shown for that plan on our website: up to 50 on Hive 50 and up to 100 on Hive 100.
- “Invoices” means your sales invoices and purchase invoices together. Credit notes and debit notes also count as invoices.
- If your invoices in a month go above your plan’s invoice limit, we will let you know before doing the extra work and either quote the additional invoices separately or suggest a plan that fits. We will not charge for extra invoices without your agreement.
- Unused volume does not carry forward to the next month.
5. Turnaround times
We aim to complete every filing before its due date. Turnaround depends on receiving complete documents and approvals from you in good time, and on government systems being available and working normally. Times we mention, such as for GST registration, are estimates and not guarantees; approvals by government departments are outside our control.
6. Penalties and late or incorrect data
We are not liable for any late fee, interest, penalty, tax demand, notice or other loss that results from:
- documents, information or approvals provided late, incompletely or not at all;
- information you supplied that is incorrect, incomplete or misleading;
- government system outages, technical errors or changes in law or procedure; or
- events beyond our reasonable control.
If a mistake is caused by an error on our part, we will correct it — for example, by filing a rectification or amendment where the law allows — at no extra service fee.
7. Limitation of liability
To the fullest extent permitted by law, our total liability to you for any claim arising from or relating to our services is limited to the fees you paid us for the service and period to which the claim relates (for example, the month or quarter of the filing concerned). We are not liable for any indirect or consequential loss, including loss of profit, business, opportunity or goodwill. Nothing in these Terms limits liability that cannot be limited under Indian law.
8. Confidentiality
We keep your business and financial information confidential and use it only to provide our services, to meet legal obligations and as described in our Privacy policy. We will not disclose it to anyone except our team and service providers who need it to deliver your service, the government authorities to whom filings are made, or where the law requires disclosure. These obligations continue after our engagement ends.
9. Communication
We mainly communicate by WhatsApp and phone, and may also use email. By engaging us, you agree that we may contact you through these channels about your service, including reminders, document requests, filing confirmations and invoices. Please keep the number you use with us active and secure, as messages and documents sent from it will be treated as coming from you. You can opt out of WhatsApp reminders at any time by replying STOP, though we may then need to reach you by other means for essential service matters.
10. Your passwords and OTPs
Taxhive will never ask you for your passwords or OTPs by phone, WhatsApp, email or any other channel. If anyone claiming to be from Taxhive asks for them, please do not share them and report it to us on +91 8097597377.
11. Ending the service
- You may stop using our services at any time by telling us on WhatsApp, by phone or in writing. Refunds and cancellations are covered by our Refund and cancellation policy.
- We may suspend or end our services if fees remain unpaid, if you repeatedly fail to provide information on time, if you ask us to do anything unlawful or misleading, or if you breach these Terms. Where reasonable, we will give you notice so you can make other arrangements before the next due date.
- When the service ends, we will hand over copies of your filed returns and the documents you shared, on request. We will keep records as long as the law requires, as explained in our Privacy policy.
12. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to the right to approach any forum available to you under applicable consumer protection law, the courts at Mumbai, Maharashtra have exclusive jurisdiction over any dispute arising from these Terms or our services. Before going to court, we encourage you to contact us so we can try to resolve the matter quickly and amicably.
13. Changes to these terms
We may update these Terms from time to time. The updated Terms will be posted on this page with a new effective date. Changes apply from the date they are posted, except that changes to fees or to an ongoing service apply from your next billing period. Where changes are significant, we will tell existing clients on WhatsApp.
